ALL CONTENT, MATERIALS, PROGRAMS, PUBLICATIONS, TOOLS, TEMPLATES, STANDARD OPERATING PROCEDURES ("MISSIONARY POSITIONS"), CURATED Q&A RESPONSES ("QUICKIES"), EXPERIENTIAL EXERCISES ("SIDEQUESTS"), AND INFORMATION DISTRIBUTED VIA MEMBERS-ONLY LINKS ("SNEAKY LINKS") OR ACCESSED WITHIN THE DIGITAL VAULT ("THE COMMUNITY BOUDOIR") OR ANY PORTAL OPERATED BY SAGACITY SERVICES LLC ARE PROVIDED STRICTLY FOR GENERAL BUSINESS EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

NEITHER SAGACITY SERVICES LLC ("SAGACITY"), NOR THE "BUSINESS SIDECHICK" BRAND, NOR ANY OF ITS CONTRIBUTING "BUSINESS EXES" (THIRD PARTY EXPERTS AND/OR EXPERIENCED ENTREPRENEURS/BUSINESS MANAGERS), STAFF, OR AI AGENTS ARE ACTING AS YOUR ATTORNEY, CERTIFIED PUBLIC ACCOUNTANT, FINANCIAL ADVISOR, REGISTERED INVESTMENT ADVISOR, OR FORMAL LICENSED CONSULTANT.

NO ATTORNEY-CLIENT, ACCOUNTANT-CLIENT, FIDUCIARY, OR FORMAL ADVISORY RELATIONSHIP IS CREATED BETWEEN YOU AND SAGACITY BY VIRTUE OF YOUR ACCESS TO OR USE OF THE WEBSITE, APP, THE COMMUNITY BOUDOIR, OR THE SERVICES.

THE INFORMATION PROVIDED IS DESIGNED TO ENHANCE YOUR GENERAL KNOWLEDGE AND OPERATIONAL KNOW-HOW. IT IS NOT A SUBSTITUTE FOR INDIVIDUALIZED PROFESSIONAL COUNSEL. THESE TERMS & CONDITIONS FORM A LEGAL AGREEMENT BETWEEN YOU (“User/Member,” “You” and “your”) AND SAGACITY SERVICES LLC (“SAGACITY,” “We,” “our,” or “us”).

BEFORE ACCESSING OR USING ANY PART OF https://www.business-sidechick.com/ OR ANY MOBILE APPLICATION, THE COMMUNITY BOUDOIR, OR PLATFORM OWNED OR OPERATED BY SAGACITY (collectively, the “Website”) AND/OR PROGRAMS, SERVICES, TOOLS, MATERIALS, OR INFORMATION AVAILABLE THROUGH THE WEBSITE OR SNEAKY LINKS, YOU SHOULD READ CAREFULLY THESE TERMS AND CONDITIONS (“T&Cs”).

These T&Cs GOVERN YOUR ACCESS TO AND USE OF THIS WEBSITE AND ANY PROGRAMS, SERVICES, TOOLS, MATERIALS, OR INFORMATION AVAILABLE THROUGH THE WEBSITE, SNEAKY LINKS OR USED IN CONNECTION THEREWITH (collectively, the “Services”).

SAGACITY IS WILLING TO LICENSE AND ALLOW THE USE OF THE WEBSITE AND THE SERVICES ONLY ON THE CONDITION THAT YOU ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THESE T&Cs.

IF YOU DO NOT AGREE WITH THESE T&Cs, YOU ARE NOT GRANTED PERMISSION TO ACCESS OR OTHERWISE USE THE SERVICES AND ARE INSTRUCTED TO EXIT THE WEBSITE IMMEDIATELY.

YOUR USE OF THE WEBSITE AND THE SERVICES

As long as you continue to comply with these T&Cs, SAGACITY grants you a revocable, limited, non-exclusive, royalty-free, non-transferable license to use and access the Website, the mobile application, and the Services (including The Community Boudoir vault materials) solely for your internal commercial and business operations.

YOUR OBLIGATIONS

By downloading, accessing, or using the Website or the Services, you represent that you are at least the legal age of majority in your jurisdiction and will, at all times, provide true, accurate, current, and complete information when submitting inquiries, registrations, or materials.
You acknowledge and agree that the use of the Internet and access to or transmissions or communications with or from the Services or Website is solely at your own risk.
You acknowledge that the Website and the Services are intended solely for use by companies/individuals located in the United States. SAGACITY expressly disclaims all claims or warranties, explicit or implied, of the fitness of the Website or the Services for use by persons located outside of the United States.
You agree that you will not use the Website or Services in a manner that could damage, disparage, or otherwise negatively impact SAGACITY or the Business Sidechick brand.
You agree to notify SAGACITY of any changes to your address, email address, and phone number and to regularly check your messages for communications related to the Services.
While SAGACITY endeavors to maintain secure and reliable Services, you agree that the confidentiality of any communication or material transmitted online or via third-party platforms cannot be guaranteed, and SAGACITY is not responsible for the security of information transmitted across third-party networks.

CONSENT TO RECEIVE ELECTRONIC COMMUNICATIONS

You acknowledge and agree that by registering with the Website or interacting via social media channels, you consent to be contacted and to receive communications regarding the Services via:

Email;
Push notifications, SMS, MMS, or text messages (“Text Messages”) on your enabled wireless device; and
Direct messaging (DMs) through integrated social media and messaging platforms (including Instagram, WhatsApp, and LinkedIn).

You acknowledge and agree that you are solely responsible for any message charges, data rates, and other fees applied by your wireless carrier for Service-related communications.

CONFIDENTIALITY & SUBMISSION CURATION

Confidential Information: SAGACITY will maintain all User/Member non-public operational data in confidence, disclosing it only to its agents, sub-contractors, and Business Exes who need to know such information to curate and deliver the Services.
Curated Content ("Quickies"): You acknowledge that questions, inquiries, or DM submissions provided to SAGACITY may be anonymized and used by SAGACITY (including through AI Agent processing and Business Ex review) to create educational publications and responses ("Quickies"). SAGACITY will strip all personally identifying information prior to publishing any public or community-facing editorial content.

OWNERSHIP & INTELLECTUAL PROPERTY RIGHTS

SAGACITY transfers no ownership or intellectual property interest or title in the Website, Services, branding, or vault materials to you or anyone else, except as expressly provided in these T&Cs. SAGACITY owns all copyrights in the collective work, compilations, selection, coordination, and enhancement of the content on the Website and inside The Community Boudoir.

Special Limited License for "Missionary Positions" & Downloadable Assets:

Subject to your continued compliance with these T&Cs and active paid membership status, SAGACITY grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, view, adapt, and customize the standard operating procedures, heuristic policies, governance frameworks, and templates (collectively, published as Missionary Positions) solely for your own internal, direct business operations.
- This license does NOT grant you ownership of any underlying intellectual property.
- Except as expressly permitted above, you agree that you shall NOT:

Resell, sublicense, rent, lease, redistribute, assign, or publicly display any Missionary Positions (whether modified or unmodified) to any third party outside your immediate enterprise;
Use any Missionary Positions to create, train, or populate a competing product, template library, AI model, or consulting service; or
Remove, obscure, or alter any copyright, trademark, or proprietary notices embedded by SAGACITY within the materials.

All rights not expressly granted herein remain exclusively reserved by SAGACITY SERVICES LLC.

Trademarks
"SAGACITY," "Business Sidechick," "The Community Boudoir," "Sneaky Links," "Quickies," "Missionary Positions," and "Sidequests," along with associated logos and icons, are proprietary trademarks of SAGACITY SERVICES LLC. Unauthorized use of these marks without express written permission is strictly prohibited.

SAGACITY PRIVACY POLICY

Operation of the Website and Services requires the collection and use of personal identifying information. SAGACITY’s privacy practices govern how your information is handled.

SAGACITY will not sell, rent, or disclose the personal information of any User/Member to third parties without express permission, except as necessary to perform the Services, process payments, or as required by applicable law.

THIRD-PARTY LINKS & INTEGRATED PLATFORMS

The Services rely upon and may link to third-party tools, applications, payment processors, and platforms (including Wix, Google Workspace, Google Classroom, Stripe, Instagram, WhatsApp, and LinkedIn).

These platforms are maintained by third parties over which SAGACITY exercises no direct control. Your dealings with third-party platforms are solely between you and the respective third party.

SAGACITY expressly disclaims responsibility and liability for all third-party provided software, platforms, security practices, or services, and you agree that SAGACITY is not liable for any loss or damage incurred as a result of platform outages or third-party interactions.

DISCLAIMERS – "AS-IS" WARRANTY

THE INFORMATION, SERVICES, PROGRAMS, SOFTWARE, TEMPLATES, AND MATERIALS AVAILABLE ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS AND MAY INCLUDE ERRORS, OMISSIONS, OR TYPOGRAPHICAL INACCURACIES.

SAGACITY MAKES NO REPRESENTATION OR WARRANTY THAT THE WEBSITE OR SERVICES WILL OPERATE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR DESTRUCTIVE CODE.

SAGACITY MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SPECIFIC FINANCIAL, OPERATIONAL, OR COMMERCIAL RESULTS THAT CAN BE ACHIEVED FROM RELYING UPON THE SERVICES OR MATERIALS PROVIDED.

SAGACITY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LIMITATION OF LIABILITY

IN NO EVENT SHALL SAGACITY SERVICES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR "BUSINESS EXES" BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE WEBSITE, DELAY, USE OR INABILITY TO USE THE SERVICES, OR FOR ANY INFORMATION, SOPs, TEMPLATES, OR MATERIALS OBTAINED THROUGH THE WEBSITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF SAGACITY FOR ANY REASON WHATSOEVER RELATED TO THE USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SAGACITY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

These T&Cs have been made in and will be construed, interpreted, and enforced solely in accordance with the laws of the Commonwealth of Kentucky and the federal laws of the United States of America, without regard to conflict of law principles.

RESOLUTION OF DISPUTES

It is the intention of the parties to resolve all controversies or claims through efficient dispute resolution.

All disputes, claims, or controversies arising out of or relating to these T&Cs, the Services, or the relationship between the parties shall be settled by binding arbitration in Louisville, Kentucky.

The arbitration shall be conducted in accordance with rules substantially similar to the commercial arbitration rules of the American Arbitration Association then in effect, before a single mutually agreed-upon arbitrator.

The determination of the arbitrator shall be final and binding. The prevailing party in any such arbitration shall be entitled to recover reasonable attorney’s fees and costs.

TERM AND TERMINATION

These T&Cs take effect the moment you access or use the Website, App, or Services and remain effective until terminated.

SAGACITY reserves the right to deny or terminate your access to the Website, The Community Boudoir, or any Service at any time for violation of these T&Cs or suspected fraudulent activity.

You may terminate these T&Cs at any time by cancelling your membership and ceasing all use of the Website and Services.

Provisions concerning SAGACITY’s ownership rights, license restrictions, disclaimers, limitation of liability, governing law, confidentiality, and arbitration will survive any termination of these T&Cs.

MISCELLANEOUS

Entire Agreement: These T&Cs and any specific subscription terms provided during checkout, constitute the entire agreement between you and SAGACITY regarding the Services.

No Third-Party Beneficiaries. These T&Cs are entered into solely for the benefit of you (the User/Member) and SAGACITY SERVICES LLC. Nothing contained in these T&Cs, express or implied, is intended to or shall confer upon any other person or entity—including, without limitation, your employees, contractors, clients, business partners, or any third party—any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these T&Cs.

Severability: If any provision of these T&Cs is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force and effect.

Independent Relationshp: No joint venture, partnership, employment, or agency relationship exists between you and SAGACITY as a result of these T&Cs or your use of the Services.

No Assignment: You may not assign or transfer your rights or account access under these T&Cs without SAGACITY’s prior written consent.

No Waiver: Failure by SAGACITY to enforce strict performance of any provision shall not constitute a waiver of any future enforcement of that or any other provision.
